1. Acceptance of Terms

By accessing or using the services provided by Sactown Signco ("Company," "we," "us," or "our"), including our website at www.sactownsignco.com and all related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms form a legally binding agreement between you and Sactown Signco. We reserve the right to update or modify these Terms at any time. Continued use of our services after changes indicates your acceptance of the revised Terms.

2. Services Description

Sactown Signco specializes in custom sign fabrication, printing, and installation services throughout the Sacramento area, including but not limited to:

• Custom signs (aluminum, acrylic, PVC, Dibond, coroplast, and more)
• Banners (vinyl, mesh, fabric, retractable)
• Decals and graphics (window, floor, wall, vehicle)
• Professional installation services
• Design consultation and artwork support

Service availability may vary by project and location within the Greater Sacramento region. All services are subject to these Terms.

3. Orders and Pricing

3.1 Quotes and Pricing

All quotes are estimates valid for 30 days unless otherwise noted. Final pricing is confirmed upon order approval and may change if project details are modified. Prices exclude applicable taxes, permits, or fees unless explicitly included.

3.2 Order Confirmation

An order is confirmed only after:

• Receipt of written or electronic approval of the quote
• Processing of required deposit or payment
• Approval of final artwork (if applicable)

3.3 Deposits and Payment

A deposit of 50% is generally required to start production on custom orders. Remaining balances are due upon completion, prior to delivery or installation. We accept major credit cards, ACH transfers, and checks from established clients.

3.4 Price Adjustments

We reserve the right to adjust pricing if:

• Project specifications change after order confirmation
• Material costs rise significantly between quote and production
• Additional work is needed due to issues with customer-provided artwork

4. Artwork and Design

4.1 Customer-Provided Artwork

Customers must ensure artwork is:

• High resolution and suitable for the intended application
• Free from copyright or trademark violations
• Accurate in content and spelling
• Submitted in acceptable formats (PDF, AI, EPS, SVG, PNG, JPG, PSD)

4.2 Proofs and Approval

We provide digital proofs for your approval before production. Approval confirms acceptance of design, colors, spelling, and layout. We are not responsible for errors in approved proofs.

4.3 Color Accuracy

Colors may differ between screens, proofs, and final products due to printing processes and materials. For color-critical projects, we recommend requesting a physical sample.

5. Intellectual Property

5.1 Customer Materials

You represent and warrant that you own or have proper licenses for all artwork, logos, images, and content provided for your order. You agree to indemnify Sactown Signco against any intellectual property claims.

5.2 Our Materials

Designs created by Sactown Signco remain our property until full payment is received. Upon payment, you receive a license to use the design for its intended purpose. Original design files may be provided upon request for an additional fee.

5.3 Portfolio Rights

Unless otherwise agreed in writing, Sactown Signco may photograph and showcase completed work in our portfolio, website, and marketing materials.

6. Production and Delivery

6.1 Timeline

Production timelines start after artwork approval and payment receipt. Standard production is typically 3-5 business days but varies by product and complexity. Rush orders may be available for an additional fee.

6.2 Shipping

Shipping costs are quoted separately unless included in your estimate. We are not responsible for delays caused by carriers. Risk of loss transfers to you once items are delivered to the shipping carrier.

6.3 Installation

Installation services are provided at your Sacramento-area location at the scheduled time. You are responsible for ensuring the site is accessible and prepared. Additional fees may apply for site prep, special equipment, or schedule changes.

7. Cancellations and Returns

7.1 Cancellation Policy

You may cancel orders within 24 hours of confirmation for a full refund. After 24 hours:

• Before production begins: 50% refund of deposit
• During production: No refund
• After production: No refund

7.2 Returns and Defects

Custom products cannot be returned unless defective. Report defects within 7 days of delivery with photos. We will repair or replace defective items at our discretion. We are not responsible for:

• Errors in customer-approved proofs
• Damage from improper installation or use
• Normal wear and weathering
• Damage during shipping (claims should be filed with the carrier)

7.3 Warranty

Warranties vary by material and product type. Specific warranty details are provided with each quote. Warranties do not cover damage from improper use, installation, or environmental factors beyond normal use.

8. Limitation of Liability

To the fullest extent permitted by law:

• Sactown Signco's total liability for any claim will not exceed the amount paid for the specific product or service
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for lost profits, business interruption, or data loss
• We are not responsible for delays or failures due to causes beyond our control (force majeure)

9. Indemnification

You agree to indemnify, defend, and hold harmless Sactown Signco and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your infringement of third-party rights, including intellectual property rights
• Content you provide to us

10. Dispute Resolution

Disputes arising from these Terms or our services will be resolved through:

1. Informal Resolution: Contact us first to try to resolve the dispute informally
2. Mediation: If informal efforts fail, disputes will be submitted to mediation in Sacramento County, California
3. Arbitration: If mediation fails, disputes will be resolved by binding arbitration under JAMS rules in Sacramento County, California

These Terms are governed by California state law without regard to conflict of law principles.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Sactown Signco.

11.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

11.3 Waiver

Our failure to enforce any provision of these Terms does not waive that provision.

11.4 Assignment

You may not assign your rights under these Terms without our written consent.
